Terms of Service
Last updated: 25 October 2026
1. Who we are
AVA Reservation ("AVA", "we", "us") is provided by SIA "AVA Systems", reg. no. 40003309926, VAT no. LV40003309926, Stopiņu iela 22, Rīga, LV-1035, Latvia. Contact: ava@avareservations.com.
2. What AVA is
AVA is online software for restaurants: a live timeline of tables and bookings; online booking for guests (a widget or buttons for the restaurant's website and an AVA booking link); card guarantees, deposits and prepayments through the restaurant's own Stripe account; gift cards; a waitlist; guest emails; staff accounts; email campaigns and promo codes; statistics and exports. AVA is offered to businesses only, not to consumers.
3. Your account
You (the "Customer") sign up with a restaurant name and an email address. You are responsible for everyone you give access to, the roles and permissions you assign, and keeping passwords private. Tell us at once if you think an account has been misused.
4. Price
- Subscription: the monthly price of your plan, per restaurant, plus VAT, as shown at sign-up and on your Subscription screen in AVA.
- Fee on guest payments: your plan's percentage, plus VAT, of money guests pay through AVA – deposits, prepayments, gift cards and no-show charges – and of event seats, including seats paid at the restaurant. For those, it is calculated on the event's per-guest price × party size once the event has started, never for a cancellation or a no-show, and less any deposit already taken through AVA for the same booking. A card that is only saved, and never charged, costs nothing.
- No setup fee. First month free: a restaurant's first AVA subscription starts with a free month – no subscription fee for the first 30 days, and the first monthly payment is taken on day 30 from the card added when the subscription starts. The fee on guest payments applies from the first day. One free month per restaurant, for its first subscription only: a restaurant that has had an AVA subscription before, or already uses AVA free of charge, pays from the start. On Group, each restaurant has its own free month. Promotional codes, where offered, apply as stated when they are issued.
- We may change the price with at least 30 days' notice by email. The new price applies from your next billing period after that notice.
5. Billing
- AVA is billed in 30-day periods, in advance. Each invoice carries the subscription for the coming period and the fees for the period just ended. The first period of a restaurant's first subscription is the free month (see section 4): its invoice is EUR 0, and the fees on guest payments taken during it are on the next invoice, together with the first paid period.
- Payment is taken from the card or payment method you add, through Stripe.
- If a payment fails, we email you and may restrict new bookings and changes until it is paid. Your existing data stays safe and readable.
6. Your guests' money
Deposits, prepayments, card-guarantee charges and gift-card sales are paid into your own Stripe account. AVA never receives or holds them. Your relationship with Stripe is governed by Stripe's own terms. You set your own deposit, cancellation and refund rules in AVA; you are responsible for those rules being lawful and fair to your guests, and for honouring the gift cards you sell.
7. Cancelling: two months' notice
To cancel your subscription you must give two months' notice. The subscription ends two months after the day you cancel – in AVA under Settings → Subscription, or by email to ava@avareservations.com – and those two months are billed as usual at your current plan's price. If you ask for it to end sooner, or it is ended because you stopped paying, the subscription fees for the rest of the notice period, up to two monthly fees at your current plan's price, are due at once and charged to your payment method.
- During the free first month cancelling is free: the subscription ends when the free month ends, no subscription fee is due, and only the fees on guest payments taken until then are invoiced. The two months' notice applies from the first paid period.
- Fees on guest payments taken up to the end are invoiced on your final invoice.
- Before closing your restaurant down you can export your data. Closing it down deletes your guests', bookings' and gift cards' data permanently.
- We may suspend or end an account that is not paid, that breaks these terms, or that is used unlawfully. Where we can, we tell you first.
8. Your data
The data you and your guests put into AVA stays yours. For your guests' personal data you are the controller and we are your processor, under the Data Processing Agreement, which forms part of these terms. We use your data only to provide AVA, to keep it secure and working, and to bill you.
9. Availability and changes
We work to keep AVA available and fast, but we do not promise uninterrupted service: maintenance, updates and causes outside our control (hosting, network or payment providers) can interrupt it. We improve AVA continually and may change or remove features, but we will not remove a core feature you rely on (the timeline, online booking, payments, gift cards, guest emails) without notice.
10. Liability
- AVA is a tool. You remain responsible for running your restaurant, for your floor plan, and for your deposit and refund rules.
- To the extent the law allows, we are not liable for indirect losses, such as lost profit, lost bookings or lost goodwill.
- Our total liability in any 12 months is limited to the fees you paid us in those 12 months.
- Nothing here limits liability that cannot be limited by law, such as for intent or gross negligence.
11. Acceptable use
You may not use AVA to send unsolicited marketing, to break the law, to store data you have no right to process, to try to access other customers' data, or to overload or attack the service. Marketing emails may only go to guests who agreed to receive them; AVA records that consent and adds an unsubscribe link to every campaign email.
12. Changes to these terms
We may update these terms. For material changes we give at least 30 days' notice by email. Continuing to use AVA after that means you accept them.
13. Law and disputes
These terms are governed by the laws of the Republic of Latvia. Disputes go to the courts of Latvia. We will always try to settle a disagreement directly first.
